Agreement to terms 

Welcome to www.ceactivator.co.nz  (the Site). The Site is hosted, owned and operated by Orion New Zealand Limited (‘we’, ‘our’, ‘Orion’).

These terms apply to the entire contents of the Site, to any web feeds produced by the Site and to any feedback or submissions provided through the Site (the Content).  By viewing and using the Site, you are deemed to have agreed to and accepted these terms of use (the Terms). 

Disclaimer 

The information on the Site is for your general information only.  While the information and content contained on the Site is updated and we have endeavored to ensure that the material on the Site is free from error, it is subject to change at any time.  We give no guarantee or warranty that the information provided on the Site is correct, adequate, complete, up to date or suitable for any particular purpose.  

Liability  

You use the Site and the Content at your own risk.  To the maximum extent permitted by law: 

1. All warranties, representations and guarantees in relation to the Site and the Content (whether express, implied or statutory) are excluded; and

Except to the extent stated in the Terms or otherwise agreed in writing, Orion is not responsible for and expressly disclaims all liability for any damages, losses, costs or expenses of any kind, suffered or incurred by you, in connection with any use of (or inability to use) the Site or the Content, or reference to, or reliance on, any information contained on the Site, or any other website that is linked to the Site, or the Terms (whether in contact, tort (including negligence) or otherwise).  

To the extent that our liability cannot be excluded, our total liability for any loss or damage you suffer or incur in connection with any use of (or inability to use) the Site, or reference to, or reliance on, any information contained on the Site, or any other website that is linked to the Site, or these Terms (whether in contract, tort (including negligence) or otherwise) will not in any circumstances exceed NZD$10.  

You agree that if you are using the Site or the Content for the purposes of trade, having regard to all relevant circumstances, it is fair and reasonable that (i) the Consumer Guarantees Act 1993 and (ii) sections 9, 12A, 13 and 14(1) of the Fair-Trading Act 1986 do not apply to such use to the maximum extent permitted by law.   

Social share buttons / links to other websites  

We may use ‘buttons’ that link to specific social media platforms. These ‘buttons’ enable visitors to share pages from the Site to their social media pages. 

Any links to third party materials or websites on the Site are provided for your convenience only.  We do not own these websites or social media channels and encourage you to read their privacy policy and conditions of use. Please protect your personal information and others by not publishing any personal information such as names and addresses.   

Adding links and sharing of our pages on social media platforms does not imply we endorse these sites or that there is any obligation for you to share to platforms you belong to or have not already joined. 

You are solely responsible for and assume all risk associated with any use or reliance placed on third party materials or websites. Unless clearly stated otherwise, we are not responsible for, and do not endorse, the accuracy or completeness of those third party materials or websites.  

Continuity of service 

Orion makes no warranty or representation, express or implied, as to continuity of service and does not guarantee access to the Site or the Content, or that your access will be uninterrupted, timely, and secure.  In addition, Orion makes no warranty or representation that your access to the Site will be error or fault free, or that the Site or the server that makes it available is free of any virus or other harmful elements.  

Orion reserves the right to suspend, terminate or otherwise alter access to some or all of the Site’s services at any time and without notice. 

Privacy 

Our Privacy Statement (available at www.ceactivator.co.nz  ) outlines how we deal with and protect personal information we collect about you through the Site.  If you choose to disclose personal information on the Site, you are deemed to have read, and agreed to have read, and agreed with, our Privacy Statement.  

Other than personal information, which is covered under the privacy policy, you acknowledge and agree any material you transmit or post to the Site is publicly available and considered non-confidential.  This includes feedback or submissions you provide. 

Intellectual Property 

We do not claim to own your copyright material.  Where you provide Orion with any information or material to be uploaded to the Site or through any form you grant Orion a right to upload such information to the Site or any other website it operates.  

We are either the owner or licensed user of the copyright and all other intellectual property rights in the Site, and all of the Content.  This includes all text, graphics, logos, icons, sound recordings and software.  All rights are reserved.  

You may access, view, copy and store the Content found on the Site for your personal use only.  Otherwise, you must not copy, display, reproduce, distribute, modify or use in any other way for commercial or public purposes any part of the Site without our prior written authorisation.  

Third party copyright  

If your contributions to the Site includes material in which copyright or other intellectual property is owned by a third party, you warrant that you have the right to use that material and to grant the right referred to in, and on the terms of, the clause above. 

Indemnity  

You indemnify us from and against any loss, damage, liability, cost, claim or expense we suffer or incur as a result of any misuse of the Site or the Content by you or any breach of these Terms.  

Revisions to these Terms  

Orion may revise these Terms at any time. Any such revisions take effect when the amended Terms are published.  By continuing to access the Site, you agreed to be bound by the amended Terms.  

Cookies 

The Site uses "cookies". Cookies are files that collect certain details of website users and store that information. The cookie will then remember the preferences of website users so as to make the website more user-friendly the next time that user visits the website. Cookies cannot read data on your hard drive. 

We may use a cookie file containing information that can identify the computer you are working from. We may use the information generated by "cookies" to track traffic patterns to and from the Site including information like the pages you visit, the time you spend on each page, the date and time of your visit, and the pages you came from or go to.

Jurisdiction  

The Site and the Terms are governed by New Zealand law.  All matters or disputes arising out of or in connection with the Site and or the Terms will be dealt with by the New Zealand courts.
